Lessonface MET Orchestra Musicians Master Classes 
Sponsored by Lessonface, PBC (also referred to as "Lessonface")

ELIGIBILITY AND OPPORTUNITY RULES (also referred to at times as the "Rules") AND PARTICIPANT’S RELEASE (also referred to at times as the "Release")

A “Master Class” as used herein is a 90-minute master class taught by multiple MET Orchestra Musicians featuring three (3) selected performers/participants, wherein each participant will perform and receive feedback from at least one (1) MET Orchestra Musician panelist for roughly 1/3 of the Master Class (which may vary at the discretion of the musicians in the Master Class). Lessonface and the MET Orchestra Musicians are collaborating on a number of upcoming Master Classes, details of which will be made available through Lessonface.com as they are confirmed.

To be eligible to participate in the Master Class and related participant selection process, each applicant/potential participant submitting an application for consideration must: (1) be an advanced-level musician with respect to the instrument that is the subject of the Master Class; (2) make a short video demonstrating relevant musical skill as discussed below and submit it through the application page on Lessonface.com; (3) agree to the terms of the below Release; and (4) be available to participate in the Master Class for which he/she submits an application, at the appointed date and time as explained at the point of submission. Applicants must (a) be at least 18 years of age or older and have reached the age of majority in the territory in which they reside at time of submission, or be younger and acting with parental consent at the time of submission; (b) not be, individually or as part of a group, signed to any recording or production deal with a major record label or producer, or under any other contractual relationship, including but not limited to guild and/or union memberships, which would make their performance or appearance in the Master Class or resulting recordings a violation of third party rights or would prohibit them from participating or would limit or impair exhibition of such recordings worldwide in any media in perpetuity.

The Master Classes will be recorded and may be made available to the public either for promotional or commercial purposes by Lessonface and the MET Orchestra Musicians. Each applicant (or a parent/guardian in the case of a minor) hereby agrees to this release (the "Release") in connection with each submission related to a Master Class.

In consideration of the opportunity to participate in the Master Class and the related photography or audio/video taping, I for myself and, in the case of a minor (the "Minor"), for myself and the Minor in my capacity as the Minor's parent/guardian, agree as follows:  

I or the Minor agree to be photographed, recorded and videotaped by in connection with the Master Class, if chosen as a participant.

I or the Minor hereby irrevocably authorize Lessonface and its affiliates including the MET Orchestra Musicians to copyright, publish, reproduce, exhibit, transmit, broadcast, televise, digitize, display, otherwise use, and permit others to use, (a) my or the Minor’s name, image, likeness, and voice, and (b) all images, recordings, audiovisual materials, writings, statements, and quotations of or by myself or the Minor, all of which are created in connection with the Master Class and which Lessonface intends to edit into finalized materials including without limitation edited audiovisual works (collectively, the “Materials”) for distribution on the Internet or other global computer networks or in any other manner otherwise, for educational, commercial, or promotional purposes for the benefit of the MET Orchestra Musicians and Lessonface, without further consent from or payment to me. 

It is understood that vis-à-vis the Minor or me, all of the Materials, and all electronic and digital copies of the Materials, are the sole property of Lessonface and/or the MET Orchestra Musicians. I or the Minor agree not to contest the rights or authority granted to Lessonface and/or the MET Orchestra Musicians hereunder. I or the Minor hereby forever release and discharge the MET Orchestra Musicians and Lessonface and their respective employees, licensees, agents, successors, and assigns from any claims, actions, damages, liabilities, costs, or demands whatsoever arising by reason of defamation, invasion of privacy, right of publicity, copyright infringement, or any other personal or property rights from or related to any use of the Materials. I or the Minor understand that Lessonface and/or the MET Orchestra Musicians are under no obligation to use the Materials.

This Release shall be binding upon the Minor and me, and our respective successors, heirs, assigns, executors, administrators, spouse and next of kin.  

I HAVE READ THIS DOCUMENT AND I UNDERSTAND THAT I GIVE UP SUBSTANTIAL RIGHTS ON BEHALF OF THE MINOR AND/OR MYSELF (INCLUDING RIGHTS RELATING TO PUBLICITY AND PRIVACY WITH RESPECT TO THE COMMERCIAL USE OF ANY STATEMENTS, PHOTOGRAPHS, AND/OR AUDIO OR VIDEO RECORDINGS) AND I ENTER INTO THIS RELEASE FREELY AND VOLUNTARILY. 

By submitting an application to be considered for a Master Class, applicant hereby: (i) agrees to these Rules and to be bound by Lessonface’s interpretations of and decisions related to them, which vis-a-vis each applicant are final in all matters relating to each submission; (ii) agrees to Lessonface’s Terms of Use and Privacy Policy available at https://www.lessonface.com/legal, https://www.lessonface.com/user-terms-of-use, https://www.lessonface.com/privacy-policy, and https://www.lessonface.com/parents; (iii) releases and holds harmless Lessonface and the MET Orchestra Musicians, individually and collectively, and each of their respective agents, employees, officers, directors, successors and assigns, against any and all claims, injury or damage arising out of or relating to participation in the Master Classes and related submissions; and (vi) acknowledges compliance with these Rules.

To be considered for selection to participate in a Master Class: Visit www.lessonface.com/metperformer or another relevant page and follow the on-screen prompts and instructions to complete the official application in a timely fashion as described on the page, submit one (1) video of no more than 3-minutes in length featuring your live performance of a public domain work from the standard repertoire (a “Permitted Work”) that best showcases your abilities. Only original videos featuring the applicant’s live performance will be accepted. The submission of any video featuring any content other than a live performance of a Permitted Work will not be considered. 

Submissions will be evaluated by Lessonface staff and other designated experts based on the following criteria: (a) technical aptitude (50%) (b) expression (50%). After a potential participant is selected, Lessonface will make one (1) attempt over the twenty-four (24) hour period following selection of a potential participant to contact each potential participant via e-mail (to the potential participant’s e-mail address as provided on the official submission form). In the event that any potential participant does not respond within twenty four (24) hours of being contacted, then Lessonface reserves the right to disqualify the potential participant and/or select an alternate from among the remaining submissions in the manner described in this paragraph. 

Selected participants who are invited to perform in the Master Classes will notify Lessonface by the date one week in advance of their scheduled performance of the work that they propose to perform in the Master Class, which can be any public domain work from the standard repertoire. If Lessonface for any reason does not approve of a work proposed by a potential participant, Lessonface will notify the potential participant to select a different work, at which point the potential participant will promptly propose a different work. (To help facilitate the Master Classes, Lessonface has ultimate approval over which work each participant will perform. Among other things, this approval right will assist Lessonface, e.g., to avoid a situation where multiple participants choose to perform the same work.) 

Failure by a potential participant to choose a work and notify Lessonface so that it may be approved within a timely manner in advance of the Master Class will result in the potential participant being replaced by an alternate.

Alternates will be chosen and notified in a similar manner to the participants as described in this section. Alternates will be notified if they are selected to replace a prior participant, in which case that alternate/potential participant will propose a work to Lessonface as soon as reasonably possible in the manner described above and coordinate with Lessonface accordingly in the manner described above.  

The final determination of the participants and the application of the judging criteria shall be in the sole and absolute discretion of Lessonface and the designated judges. No correspondence will be entered into with regard to any such decisions. Lessonface reserves the right to extend the submission period or delay selection of a potential participant or alternate, including in cases where submissions do not meet the minimum criteria for selection, or take any other steps necessary or appropriate to facilitate the Master Classes as determined in Lessonface’s sole discretion. To the extent permitted by law, Lessonface disclaims any liability from, and applicants, agree to waive, any claims against Lessonface relating to the judging or awarding process. Lessonface reserves the right to select an alternate participant or alternate in the event that any potential participant or alternate fails to comply with these Rules. Vis-a-vis applicants, all decisions of Lessonface relating to the Master Class are final. Lessonface expressly reserves the right to delay the announcement of the participants for creative or technical reasons or for any other reason Lessonface deems necessary.

Use and Transfer of Personal Information: By submitting an application for consideration, you understand and agree that your application and any other personal information collected or accessed through Lessonface.com in connection with the Master Classes may be used to process your application and, if applicable, announce participants. For more information, please consult the privacy policy at: https://www.lessonface.com/privacy-policy; in the event of any conflict between these Rules and such privacy policy, the terms of these Rules shall govern. If an applicant gives Lessonface permission to pass on their personal information to a third party then this shall no longer be the responsibility of Lessonface and shall be subject to the privacy policy of that third party. 

These Rules may be amended at any time by Lessonface. No waiver of any rights by Lessonface or any applicant will be taken as a waiver of any other rights it may have. For example, if Lessonface waives its right to acknowledge and respond with respect to a particular breach of these Rules by an applicant, it does not prevent Lessonface from acknowledging and responding with respect to other breaches.
